Abstract:

In the context of the development of corporate governance structure, the charter is thefundamental regulations for public libraries to streamline internal and external relationships, and establishdecision-making and management systems. Based on official website research, this study examinesthe charters of provincial and municipal public libraries in five provinces of China. It analyzes theperformance and design of corporate governance structure in the charters from four aspects: organizationalgoals, operational structure, generation of chairperson of the board of directors and library directors, andoperational norms. It identifies the following questions in the design of corporate governance structure:the organizational goal is incomplete; the separation of management and office needs to be deepened; thesupervision mechanism needs to be further completed; and the information communication and feedbacksystem needs to be strengthened. It recommends optimizing from four aspects: deepening organizationalgoals, enabling the board of directors, amplifying supervision mechanism, improving institutionalconstruction, and strengthening the information transmission mechanism.
