Research on the Optimization of the Corporate Governance Structure of Public Libraries from the Supervisory Board Perspective

Abstract:

The legal person governance structure of public libraries assigns the decision-makingpower, execution power and supervision power to different institutions, which is of great significancefor the effective implementation of the autonomy of library legal persons and the realization of librarygovernance. Based on the results of the Internet research of 365 public libraries, this paper starts fromthe perspective of supervisory boards/supervisors, and divides the corporate governance structure ofpublic libraries into three types: binary-supervisory-absent, binary-supervisory-embedded, and ternarysupervisoryboard-independent. It also analyzes the checks and balances of power between the supervisorycommittee/supervisors and the board of councils and management. The article proposes strategies foroptimizing the corporate governance structure of public libraries in terms of clarifying the duties ofsupervisors in the statutes, optimizing the way of identifying supervisors, and supporting supervisors tocarry out regular evaluation work, with a view to promoting the scientific and standardized developmentof the corporate governance structure of public libraries.
